This Privacy Policy (“Policy”) describes how Kind Base, Inc. doing business as Foodli (“Foodli,” “we,” “our,” or “us”) collects, uses, and shares information in connection with our software platforms, websites, applications, and related services (collectively, the “Services”). 1. Information We Collect

a. Information You Provide

When you register for and use the Services, we collect information including: business name and legal entity information; contact information (name, email, phone, address); tax ID and EIN; bank account and routing information for ACH transactions; menu and product data; transaction records; and any other information you provide in connection with your use of the Services.

b. Information Collected Automatically

We automatically collect certain information when you use the Services, including: IP addresses and device identifiers; browser type and operating system; pages visited and features used; transaction data processed through the platform; and usage patterns and interaction data.

c. End-Customer Data

In connection with providing the Services, we may collect data about your end-customers (restaurant guests, online ordering customers, etc.), including names, contact information, payment data, and transaction history. This data is collected on your behalf and in accordance with this Policy.

2. How We Use Your Information

We use information collected through the Services for the following purposes:

  • Providing, operating, and improving the Services.
  • Processing payments and managing your account.
  • Communicating with you about the Services, including service updates, billing, and support.
  • Building aggregated, anonymized, or de-identified datasets for analytics, benchmarking, and product development.
  • Marketing and targeting end-customers through Foodli’s own or affiliated platforms, applications, or services, including any future aggregator, marketplace, or consumer-facing products.
  • Sharing data with affiliates, partners, or successors of Foodli for the same purposes.
  • Complying with legal obligations and enforcing our Terms.
  • Preventing fraud and protecting the security of the Services.
  • Responding to law enforcement requests or legal process.

3. Data License

By using the Services, you grant Foodli a perpetual, irrevocable, worldwide, royalty-free license to access, use, store, process, and create derivative works from your business data and end-customer data collected through the platform for the purposes described in this Policy. This license survives termination of your account. You are responsible for ensuring that your use of the Services and any end-customer data collection complies with applicable privacy laws, including the California Consumer Privacy Act (CCPA), and that you have obtained any required consents from your end-customers for the data uses described above.

4. How We Share Your Information

a. Service Providers

We may share your information with third-party vendors and service providers that perform services on our behalf, such as payment processors, cloud hosting providers, customer support platforms, and analytics providers. We require these service providers to protect your information and use it only for the purposes we specify.

b. Payment Processors

In connection with payment processing, we share necessary information with the payment processor(s) we select for your account. Each processor’s own privacy policy and terms govern their use of your data.

c. Affiliates and Business Transfers

We may share information with our affiliates, subsidiaries, and successors. In the event of a merger, acquisition, sale of assets, or similar transaction, your information may be transferred to the acquiring entity, which will handle it in accordance with this Policy.

d. Aggregated and Anonymized Data

You may disable cookies through your browser settings, but this may affect your ability to use certain features of the Services.

6. Data Security

However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

We retain your information for as long as your account is active or as needed to provide the Services. By providing your contact information, you consent to receive communications from Foodli including service updates, billing notices, and promotional materials. Standard message and data rates may apply for SMS communications.

We may update this Policy at any time by posting the revised version on our website. We will notify you of material changes as required by law. Your continued use of the Services after changes are posted constitutes acceptance of the updated Policy.
